These General Terms and Conditions of Business (hereinafter referred to as "GTC") shall apply in principle to all present and future contractual business relations between GTS AG, Marzellenstrasse 12, 50667 Cologne (hereinafter referred to as "GTS") and orderers, i.e. customers of GTS, who are either consumers or entrepreneurs (hereinafter referred to jointly as "contracting parties"), unless individual provisions apply only to legal relations with consumers or entrepreneurs and these GTC expressly provide otherwise.
In this context, consumers in the sense of § 13 BGB (German Civil Code) shall be understood as any natural person who concludes a legal transaction for a purpose that can be attributed neither to his commercial nor to his independent professional activity (hereinafter referred to as "consumer").
Any natural or legal person or a partnership with legal capacity who, when concluding a legal transaction, acts in the exercise of his commercial or independent professional activity (hereinafter referred to as "Entrepreneur") shall be deemed to be an Entrepreneur within the meaning of Section 14 of the German Civil Code (BGB). A partnership with legal capacity is a partnership endowed with the capacity to acquire rights and incur liabilities.
The GTC shall apply in their respective valid version upon conclusion of a contract between the aforementioned parties.
In simplified terms, GTS offers the sale of an ERC20 token developed by it (hereinafter referred to as "heygold token") as well as the sale of co-ownership shares (co-ownership by fractional shares) in a gold collective holding via the website operated by it at www.heygold.com (hereinafter referred to as "platform"). With the acquisition of a heygold token, the contracting party acquires a co-ownership share in a gold collective holding. One heygold token documents 0.1 gram of gold (with a fineness of 999.99/1000) by weight of the total weight of the gold collection stock. The heygold token serves as proof of the said co-ownership share. GTS is responsible for the safekeeping of the gold collection stock and has commissioned Deutsche Edelmetallhaus GmbH, Marzellenstraße 12, 50667 Cologne (hereinafter referred to as "Depositary") with this task.
For the purpose of reselling the heygold token together with the co-ownership share, GTS will set up a marketplace which can be used by the contracting parties and third parties via a separate registration (cf. clause IV.2.).
Upon conclusion of the contract, the GTC shall become an integral part of the respective contractual relationship between GTS and the Contractual Partner, which, in addition to the acquisition process of the heygold token together with the co-ownership share, also regulates the custody of the co-ownership share by GTS. Deviating terms and conditions of the Contractual Partner will not be accepted. This also applies if GTS does not expressly object to the inclusion.
GTS reserves the right to change the service description or the GTC and other conditions at any time and without giving reasons. Such changes shall not apply to orders already placed. GTS will only carry out these changes insofar as this is necessary to eliminate equivalence problems arising subsequently or to adapt to changed legal or technical framework conditions. In all other cases, GTS shall inform the contracting party of the content of the amended provisions by sending an e-mail to the e-mail address provided by the contracting party. In this case, the amendments shall become an integral part of the contract if the contracting party does not object to their inclusion in the contractual relationship at least in text form within six weeks of receipt of the notification of amendment. In this case, GTS shall be entitled to terminate the contract.
GTS may be obliged to identify its contracting parties and any beneficial owner in certain cases due to statutory provisions (in particular the Money Laundering Act, German Fiscal Code). In this case, the contracting party is legally obliged to cooperate, in particular by submitting official identification documents and, if necessary, other required information and documents. Any changes arising in the course of the business relationship must be notified to GTS without delay. Irrespective of statutory provisions, GTS generally reserves the right to check the identity of its contractual partners for security reasons.
The use of the platform and the services offered by GTS via it requires the one-time registration and creation of a user account of the contracting party on the platform. Registration and the creation of a user account is carried out electronically by filling out and sending a form provided by GTS on the platform. The contracting party may only send the aforementioned form after taking note of and agreeing to the General Terms and Conditions of GTS. Registration and use of the platform is free of charge for the contracting party. Contractual partners are only permitted to register and use the platform if they are at least 18 years old and have unlimited legal capacity.
For the registration as a prerequisite for the conclusion of the contract between the parties, the entry of personal data of the user (name, first name, billing address, email address) is required. Registration under a pseudonym or another name as well as multiple registration is not permitted. The contracting party has to act on his own account.
The contracting party shall also provide itself with an individualized password of its choice, which, together with the email address as user name, shall constitute the access data for the platform and its use (hereinafter referred to as "access data"). The contractual partner must keep the access data strictly secret.
GTS reserves the right to reject registration applications or to exclude registered contracting parties from using the platform without stating a reason.
Each registered contracting party may at any time request that GTS delete or change the data it provided during registration, provided that there are no legal requirements to the contrary or the data is still necessary for the purposes for which it was collected. For the deletion or modification of this data, the customer must send a corresponding e-mail to support@heygold.com. The contracting party can view the data at any time in the section "MY PROFILE".
The registered contracting party may select the heygold tokens displayed and offered on the platform together with the co-ownership shares in a gold bullion holding via the button "Buy heygold now". The mere presentation of the heygold tokens together with the co-ownership shares in a gold collective holding on the platform as such does not constitute a binding offer on the part of GTS, but merely the invitation to place an order (invitatio ad offerendum).
In the "Investment Dashboard", the Contractual Partner gets an overview of the investments made by him via the platform, in particular, when selecting the investment tile "Gold", his current heygold token holdings are displayed. In addition, the contracting party is given the opportunity to purchase additional heygold tokens by entering a freely selectable number of heygold tokens to be ordered by him. In addition, the current individual price of a heygold token is listed, as well as the total price to be paid by the contracting party.
By pressing the "CONTINUE" order button, the Contractual Partner is taken to an overview page that once again shows him the current stock of his heygold tokens, as well as the data of his current order (number, individual price and total price). The Contractual Partner can then select which of the payment methods offered by GTS - bank transfer, instant bank transfer, PayPal or giropay/paydirekt - he would like to use to pay the respective total price.
If the contracting party presses the button "BUY NOW" after the required selection of the payment method, he submits a binding application and thus an offer to purchase the heygold tokens in the shopping cart together with the co-ownership shares in a gold collection stock to GTS. In the context of submitting the offer, the contracting party agrees that GTS subcontracts the custodian with the custody of the co-ownership shares in a gold collective holding in its own name (holding relationship). All offers made by GTS are valid "while stocks last", unless otherwise stated in the respective offer of goods.
GTS will then send the contracting party an automatic confirmation of receipt by email, which will contain the invoice for the contracting party's respective order and which the contracting party can save and print electronically using the regular system functions "Save" and "Print". The automatic confirmation of receipt merely documents that the aforementioned offer of the contracting party has been received by GTS and does not constitute acceptance of this offer.
In the case of the above-described submission of an offer, the contract shall only come into effect through the execution of the service by crediting the heygold tokens in the wallet/user administration of the contracting party by GTS (acceptance). In this case, the time stamp of the sent confirmation of receipt, however, serves to determine the exact price per heygold token together with the co-ownership share in a gold collection.
In the e-mail with the confirmation of receipt or in a separate e-mail, the text of the contract (consisting of the order, invoice and GTC) will be sent to the contractual partner of GTS on a permanent data carrier (e-mail or paper printout). The contract text will also be stored in compliance with data protection.
The subject matter of the contract is the transfer of the number of heygold tokens selected by the contracting partner after their full payment and the transfer of co-ownership shares in a gold collection stock (co-ownership according to fractional shares). The co-owners form a fractional community in the sense of §§ 741 ff. BGB. For each heygold token, GTS transfers to the Contracting Party a co-ownership share in the gold collection stock specified in more detail below, which (co-ownership share) amounts to 0.1 gram of gold by weight of the total weight of the gold collection stock.
a) Token emission
heygold tokens are generated by GTS to fulfill the conclusion of the contract and are transferred to the contracting party. The heygold token contains the specific information about the co-ownership share in the gold collection stock acquired together with the heygold token.
The newly generated heygold token is transferred to the blockchain address (wallet) of the respective contracting party, which the contracting party has received as part of its registration on the platform. The heygold token remains with the contracting party for as long as the contracting party is a co-owner of the gold collective holding and the co-ownership share is in the custody of the custodian.
b) Issue of the co-ownership share
The transfer of co-ownership is effected by agreement between GTS and the contracting party that the contracting party is to become co-owner of the gold collection stock and the agreement of a so-called relationship of intermediary possession, as described below:
An agency relationship exists if GTS holds the contracting party's fractional share in safe custody for the contracting party, or wishes to have it held in safe custody by a third party, while acknowledging the contracting party's (fractional) ownership. In this context, upon acceptance of his offer by GTS, the contracting party shall receive a claim for surrender against GTS for the surrender of the gold fraction to all co-owners within the meaning of § 432 BGB (i) in the event of termination of the custody agreement between GTS and the custodian (unless GTS concludes a new custody agreement with a third party) or (ii) in the event of the legally provided possibilities of cancellation of the fractional ownership between the co-owners.
A separate purchase of the heygold token or of co-ownership shares in the gold collection stock is not possible.
c) Safekeeping of the co-ownership share
GTS shall inform the Depositary that the gold collection stock is co-owned by the contracting parties and shall contractually ensure that liens or rights of retention of the Depositary may only be asserted in respect of such claims as have arisen with reference to the gold collection stock.
GTS will contractually ensure that the custodian insures the gold collection stock against theft, fire and water damage. GTS shall not be liable for ordinary negligence on the part of the custodian. In the event of the insolvency of the custodian, the contracting party shall be entitled to a right of segregation pursuant to §47 InsO, which shall be asserted by GTS on behalf of the co-owners of the gold collection stock.
The contracting party expressly agrees to collective safekeeping. The gold collective holding includes all gold bars which are or will be at the time of the conclusion of the contract as well as in the future in the box with the inscription "heygold-Token" contained in compartment heygold of safe deposit box 1 of the Depositary. GTS assures that the gold held in the collective inventory is at least equal in weight to the number of heygold tokens sold multiplied by 0.1 grams of gold. This is verified annually by an auditor.
GTS is entitled, independently and without prior coordination with the Contracting Party, to change the composition of the Gold Collection Stock with respect to the bars located therein, provided that the total weight of the Gold located in the Gold Collection Stock before and after the adjustment is not fallen short of in relation to the issued heygold tokens.
GTS maintains a register for the administration of the co-ownership shares based on blockchain technology in the aforementioned gold collective. This shows in particular to which Wallet the respective heygold token is assigned. The recorded weight per contracting party or wallet is decisive for the determination of the co-ownership share in the total stock of the collective gold holdings.
In case of termination of the custody agreement with the Depositary, GTS will publish this information on the Platform in a freely accessible manner.
d) Fractional community
All co-owners form a fractional community within the meaning of §§ 741 et seq. BGB.
Beyond the case of termination of the custody agreement without conclusion of a new custody agreement, a cancellation of the fractional partnership - also with effect beyond the death of the contracting party - is forever excluded. The statutory possibilities of dissolution shall remain unaffected. Joint administration pursuant to §§ 744 and 745 BGB is excluded.
If the claim for surrender to all Co-Owners is asserted by a Co-Owner under the aforementioned conditions, GTS shall be entitled to sell the Gold Collection at the current Gold Rate on behalf of all Co-Owners. GTS will exchange the liquidity proceeds into cryptocurrency Ethereum and credit the liquidity proceeds proportionately to the wallets of the co-owners. Subsequently, the heygold tokens will be destroyed by GTS (so-called "burning").
Due to the application of the tax exemption according to § 25c UStG (German Turnover Tax Act) as amended, the prices stated on the platform are net prices excluding turnover tax.
The payment of the purchase price for a heygold token and the thereby documented co-ownership share in a gold collection stock, is due in each case before the conclusion of the contract.
In this respect, GTS only recognizes the payment methods displayed in the platform (bank transfer, immediate transfer, PayPal, giropay/paydirekt). In this respect, the purchase price is to be paid to the bank account of GTS indicated by GTS in the respective invoice, stating the respective order number or the customer number as the purpose of payment. The debit of the bank account or the PayPal account of the contractual partner shall be effected as advance payment. GTS shall receive the transfer credit note in each case.
If no payment is received on the respective bank account or PayPal account of GTS within 24 hours after sending the text of the contract or if only an incomplete payment is received, GTS is entitled to withdraw from the contract. If GTS withdraws from the contract, GTS will no longer deliver the heygold token together with the co-ownership share in a gold collection stock, even if the contracting party still pays the amount originally demanded by GTS to GTS after receipt of the withdrawal notice. In this case, the contracting party shall also be obligated to compensate GTS for any damage incurred due to any price fluctuations between the conclusion of the contract and the declaration of withdrawal.
The warranty rights of the contractual partner shall be governed by the general statutory provisions of the German Civil Code (BGB), unless otherwise stipulated below:
The limitation period for warranty claims is 2 years for contractual partners who are consumers, or 1 year for contractual partners who are entrepreneurs.
A shortening of the statutory limitation periods shall not apply to claims for damages of the contractual partner due to injury to life, body, health and to claims for damages due to a breach of essential contractual obligations. Material contractual obligations are those whose fulfillment makes the proper execution of the contract possible in the first place and/or on whose compliance the customer may regularly rely (so-called cardinal obligations). A shortening of the statutory limitation periods shall likewise not apply to claims for damages based on an intentional or grossly negligent breach of duty by GTS, its legal representatives or vicarious agents. § 478 of the German Civil Code (BGB) and the provisions of the Product Liability Act (ProdHaftG) shall remain unaffected by this provision.
If there is a defect, GTS shall be entitled to subsequent performance. However, GTS shall also be entitled to refuse the type of subsequent performance chosen by the contracting party if it is only possible with disproportionate costs and another type of subsequent performance remains without significant disadvantages for the contracting party. During the supplementary performance, the reduction of the purchase price or the withdrawal from the contract by the contractual partner shall be excluded.
If the subsequent performance fails at least twice, the contracting party shall be entitled to reduce the price or, at its option, to withdraw from the contract.
The contracting party may only dispose of the heygold token together with the co-ownership share with the express consent of GTS. Bilateral trading of the heygold token together with the co-ownership share is not intended outside the marketplace established by GTS.
The Contractual Partner undertakes not to pledge or otherwise encumber the co-ownership shares in the Gold Collection Stock.
The heygold token and the co-ownership share in the gold collective holding can only be transferred together to one acquirer. A separate transfer of the heygold tokens and/or the respective co-ownership shares in the gold collective holding is not possible. The respective co-ownership shares in the gold collective holding can only be transferred by transferring heygold tokens. If the contracting party makes an offer to transfer heygold tokens to a third party, this always includes an offer to transfer the respective co-ownership shares in the gold collective holding. The in rem agreement with regard to the co-ownership share in the collective gold holding is subject to the condition precedent of the effective transfer of the heygold token. After the agreement, the transfer of the respective co-ownership share in the collective gold holding shall be effected by assignment of the claim for surrender arising from the contractual relationship with GTS.
A co-ownership share in the gold collection stock equivalent to less than 0.1 grams of gold can be transferred, thus a heygold token can also be transferred in fractional shares.
GTS will set up a marketplace for the resale and onward transfer of the heygold tokens together with the co-ownership share in a gold collection stock. Among other things, a separate registration is required for the use of the marketplace. Furthermore, the customer has to conclude a separate agreement with CONCEDUS GmbH and to accept its GTC as well as the GTC for the use of the marketplace.
If the user account of the Contractual Partner is activated for the use of the marketplace, the Contractual Partner can place an offer for the transfer of heygold tokens together with the co-ownership share(s). Further details are regulated by the GTC for the use of the marketplace https://www.heygold.com/terms
The following statements represent the factual and legal risks considered to be material in connection with the acquisition of heygold tokens together with the co-ownership share. However, it cannot be ruled out that, as a result of special individual and therefore unknown circumstances, further individual risks may arise for the contracting party that are not foreseeable for GTS or that intensify risk consequences as a result of this, as well as through the occurrence of general negative economic circumstances, such as a global financial, currency and/or economic crisis, possibly as a result of a pandemic.
These and the risks presented below do not release the Contractual Partner from forming his own independent judgment regarding the offer of heygold tokens and making it the basis of his decision. Individual risks arising from the personal situation of the Contracting Party cannot be presented here. Therefore, it may be advisable for the Contractual Partner to seek the advice of its own advisors in order to assess the offer.
The Contractual Partner is aware that the acquisition of the heygold token together with the co-ownership share in a gold collection stock involves a risk of loss for his invested capital up to a total loss. The contracting party is also aware that the heygold token does not grant a claim to the surrender of physical gold, not even in the amount of the co-ownership share, and that the heygold token together with the co-ownership share in a gold collective holding will also not be repurchased by GTS. Furthermore, he is aware that the heygold token together with the co-ownership share in a gold collective holding can thus only be sold on the marketplace set up by GTS.
The contractual partner is entitled to a statutory right of withdrawal.

You have the right to revoke the contract within fourteen days without giving any reason. The revocation period is fourteen days from the day of the conclusion of the contract.
To exercise your right of withdrawal, you must inform us (GTS AG, Marzellenstrasse 12, 50667 Cologne, Germany, e-mail: support@heygold.com) of your decision to withdraw from this contract by means of a clear declaration (e.g. a letter or e-mail sent by post). For this purpose, you may use the enclosed sample revocation form, which, however, is not mandatory.
To comply with the withdrawal period, it is sufficient that you send the notice of exercise of the right of withdrawal before the expiry of the withdrawal period.
If you cancel this contract, we will reimburse you for all payments we have received from you, including delivery costs (with the exception of additional costs resulting from the fact that you have chosen a type of delivery other than the most favorable standard delivery offered by us), without undue delay and no later than within fourteen days from the day on which we received the notification of your cancellation of this contract. For this repayment, we will use the same means of payment that you used for the original transaction, unless expressly agreed otherwise with you; in no case will you be charged any fees because of this repayment. If you have requested that the services begin during the cancellation period, although you were informed of the legal consequence before submitting your contractual declaration and have expressly agreed to it, you shall pay us an appropriate amount corresponding to the proportion of the services already provided up to the point in time at which you notify us of the exercise of the right of cancellation with regard to this contract compared to the total scope of the services provided for in the contract ("compensation for lost value").
If there is an obligation to pay compensation for lost value, this may mean that you still have to fulfill the contractual payment obligations for the period until the revocation. Your right of revocation expires prematurely if the contract has been completely fulfilled by both parties at your express request before you have exercised your right of revocation.
Obligations to refund payments must be fulfilled within 30 days. The period begins for you with the dispatch of your revocation, for us with its receipt.
In the case of a contract in connection with the purchase of the heygold token, there is no right of cancellation.
The right of cancellation expires when GTS has provided the service and the contract has been completed by the acquisition of the heygold token and the co-ownership share in a gold collection stock documented with it by the Contractual Partner or GTS has started the execution of the contract after the Contractual Partner has given his express consent to this and at the same time confirmed his knowledge that he loses his right of cancellation upon complete fulfillment of the contract by GTS.
End of the cancellation policy
Claims of the contractual partner for damages are excluded. Excluded from this are claims for damages by the contracting party arising from injury to life, limb or health or from the breach of essential contractual obligations (cardinal obligations) as well as liability for other damages based on an intentional or grossly negligent breach of duty by GTS, its legal representatives or vicarious agents. Material contractual obligations are those whose fulfillment is necessary to achieve the objective of the contract.
In the event of a breach of material contractual obligations, GTS shall only be liable for the foreseeable damage typical for the contract if such damage was caused by simple negligence, unless the contractual partner's claims for damages are based on injury to life, body or health.
Otherwise, claims for defects shall be subject to the statutory limitation period of two years, unless the contractual partner is not a consumer. In this case, the general limitation period for claims for defects shall be one year, unless GTS is liable for damages in accordance with the provisions of this Section 9.
The contracting parties undertake, for an unlimited period of time, to maintain secrecy with regard to business and trade secrets as well as information designated as confidential which is made accessible to them in connection with the execution of the contract. Disclosure to third parties not involved in the execution of the order shall only take place with the prior written consent of the respective other contracting party.
GTS collects and processes the data of the contracting party necessary for the business transaction. When processing personal data of the contracting party, GTS shall observe the statutory provisions. Without the consent of the contracting party, GTS will only collect, process or use personal data of the contracting party insofar as this is necessary for the processing of the contractual relationship or a legitimate interest of GTS exists.
The Contracting Partner may order heygold tokens together with the co-ownership share only as a registered user. As a registered user, he does not have to provide his personal data each time, but the contracting partner can simply log in to his contracting partner account with his e-mail address and the password freely chosen by him during registration before or within the scope of an order.
For the execution and processing of an order, GTS requires at least the following data from the contractual partner:
– First and last name
– Email address
– Postal address
– Wallet details
In the case of payment by bank transfer, GTS also uses the bank details for payment processing.
Any further use of the personal data of the contracting party, in particular for purposes of advertising, market research or for the needs-based design of our offers, requires express consent. This declaration of consent is completely voluntary and can be revoked at any time by sending an e-mail to the customer support "support@heygold.com".
The data communicated by GTS shall remain stored in the respective contract partner account until the contract partner deletes it himself. Furthermore, GTS shall only store the contract partner data within the scope of its obligations under tax and commercial law.
Insofar as the personal details of the contractual partner change, he himself is responsible for updating them. All changes can be made online after registration under "MY PROFILE".
In the context of inquiries by investigating authorities, GTS may be obligated to forward personal data of the contracting party, in particular the address, to the investigating authorities to the extent necessary upon proof of the initiation of administrative offense or criminal proceedings.
With regard to the details and the scope of the collection, storage and processing of the personal data of the contracting party, reference is made to the data protection statement provided at https://heygold.com/terms.
Insofar as GTS is obliged to identify the contracting party and any beneficial owner in accordance with the German Money Laundering Act (GwG), the contracting party is legally obliged to cooperate; in particular, the contracting party must provide GTS with the information and documents necessary for identification and notify GTS immediately of any changes arising in the course of the business relationship.
GTS does not save the text of the contract, but sends the contractual partner the order data and the GTC by e-mail. The contractual partner can also view and download the GTC here on the platform at https://heygold.com/terms at any time. The contractual partner can view any past orders on the platform after logging in as a customer.
This contract contains all agreements made between the parties concerning the subject matter of the contract. Verbal side agreements do not exist.
Amendments to these GTC require at least the text form.
The language available for the conclusion of the contract is German.
Contracts between the contractual partner and GTS shall be governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. The statutory provisions on the restriction of the choice of law and on the applicability of mandatory provisions, in particular of the state in which the contractual partner has his habitual residence as a consumer, shall remain unaffected.
Should individual provisions of these GTC be invalid, this shall not affect the validity of the remaining provisions or the contract as such.
In case of disputes, the EU Commission offers an online platform for online dispute resolution (ODR platform). The ODR platform serves as a contact point for the out-of-court settlement of disputes concerning contractual obligations arising from online purchase contracts. The contractual partner can access more detailed information and this OS platform via the following link https://ec.europa.eu/consumers/odr
GTS is not willing and not obliged to participate in a dispute resolution procedure before a consumer arbitration board.

(3) Any natural or legal person or a partnership with legal capacity who, when concluding a legal transaction, acts in the exercise of his commercial or independent professional activity (hereinafter referred to as "Entrepreneur") shall be deemed to be an Entrepreneur within the meaning of Section 14 of the German Civil Code (BGB). A partnership with legal capacity is a partnership endowed with the capacity to acquire rights and incur liabilities.
(4) The use of the heygold online store is possible for persons who are at least 18 years old.
(5) The GTC shall apply in their respective valid version upon conclusion of a contract between the aforementioned parties.
(6) The contract language is German.
(7) GTS offers the purchase of gift cards for the purchase of heygold tokens in the heygold online store at www.heygold.com/shop (hereinafter "heygold store").
(8) The gift cards are hereinafter referred to as "goods". It is clarified that the purchase of heygold tokens is made via a separate platform at www.heygold.com subject to the General Terms and Conditions applicable thereto AGB heygold-Token.
(9) The GTC become an important contractual component of the respective contractual relationship upon conclusion of the purchase contract. Deviating terms and conditions of the customer will not be accepted. This also applies if GTS does not expressly object to the inclusion.
(10) GTS may be obliged to identify its contracting party and any beneficial owner in certain cases due to statutory provisions (in particular the Money Laundering Act, German Fiscal Code). In this case, the Customer shall be legally obliged to cooperate, in particular by submitting official identification documents and, if applicable, other necessary information and documents. Any changes arising in the course of the business relationship shall be notified without delay. Irrespective of legal regulations, GTS generally reserves the right to check the identity of its customers for security reasons.
(1) The customer has the possibility to create a customer account in the heygold store. Otherwise, the option to place the order as a guest must be selected in the order process (see § 4 Order process).
(2) To create a customer account, the customer has to click on the button [Register] on the start page of the heygold store. Subsequently, all fields marked with * have to be filled in and a secret password has to be selected. The registration process is completed by clicking on the button [Register now].
(3) In order for the customer to be able to log in to the customer account in the future, the password and the e-mail address stored when the customer account was set up will be requested.
(4) The information in the customer account can be viewed, changed or supplemented at any time. The data will be processed in accordance with the current and valid data protection declaration of GTS. The data will not be passed on to third parties.
(5) The customer must keep the selected password secret. In the event that an already registered customer forgets his password, he can request a password link from GTS by clicking on the [Forgotten password?] button during the registration process. Via the password link sent by GTS to the customer's stored e-mail address, the customer can select a new password on the newly opened page.
(6) Each customer is only entitled to maintain one customer account with the heygold store at the same time. GTS reserves the right to delete multiple registrations.
(1) The placement of goods by GTS in the heygold store does not constitute an offer to conclude a purchase contract. It is rather an invitation to the customer to make an offer for the conclusion of a contract..
(2) By placing an order (see § 4 "Ordering process") via the heygold -shop, the customer submits his offer to conclude a purchase contract for the goods desired by him. Subsequently, he receives an automated confirmation by email about the receipt of his order (hereinafter "order confirmation"). This order confirmation does not constitute a declaration of acceptance by GTS. The acceptance of the customer's offer is only declared by a further email with order confirmation (hereinafter "Order Confirmation") or the shipment of the goods. If the customer has not received an order confirmation or notification of delivery or no goods within five (5) calendar days, he shall no longer be bound by his offer. In this case, any services already rendered will be refunded immediately.
(3) The order confirmation and these terms and conditions will be sent to the customer by email after conclusion of the contract. The customer agrees to the provision of the contract copy and the order confirmation by email. After conclusion of the contract, the order data of a purchase contract, unless the order was placed as a registered user, are no longer accessible via the Internet for security reasons.
(1) In the heygold store, the customer can place the desired goods in the shopping cart by clicking the button [Add to cart]. This process is non-binding and does not constitute a contract offer. The customer can call up the content of the shopping cart at any time by clicking the button [Shopping Cart]. If this button is clicked, a new page opens on which the entire contents of the shopping cart are displayed. If the customer wishes to remove one or more items from the shopping cart, he can do so by clicking the [Delete item] button. The customer can also correct the quantity of an item on this page. If the Customer wishes to purchase the goods placed in the shopping cart, he must click the [Continue] button.
(2) The customer must have an existing heygold account and be logged in with it in order to place the order. The order process requires the entry of the required information, which is marked with an "*".
(3) The customer data will be transmitted to GTS in encrypted form.
(4) Shipping is carried out by default via a shipping service provider (shipping method) against payment of the shipping costs, if any. The shipping costs are displayed separately to the customer before the order process is completed and, together with the purchase price for the ordered goods, form the total amount to be paid by the customer.
(5) Under the point payment method the customer gets to the selection of his desired payment method. After selecting this, the Customer can once again change the order item(s) and quantity using the Minus (-) and Plus (+) buttons under Order Summary.
(6) By clicking the button [Order with obligation to pay], the customer makes a binding offer to purchase the goods in the shopping cart and completes the ordering process. Until the button [Order with obligation to pay] is clicked, the ordering process can be cancelled at any time by closing the browser window. In this case, the customer does not submit an offer to conclude a contract.
(7) After completion of the order process, the customer will receive an automatic order confirmation by email. With this email, GTS confirms that the order has been received. This order confirmation does not constitute the conclusion of a purchase contract. The purchase contract shall only come into existence upon dispatch of an order confirmation by GTS or upon dispatch of the goods (see § 3 Conclusion of Contract).
(1) The prices listed in the heygold store at the time of the order shall apply. The indicated prices are final prices, i.e. they include the respectively valid German legal value added tax.
(2) The shipping costs depend on the selected shipping method and the respective shipping service provider.
(3) In the heygold store, the payment methods bank transfer, instant bank transfer, PayPal, giropay/paydirekt are generally offered. GTS reserves the right not to offer certain payment methods for each order and to refer to other payment methods.
(4) The purchase price is to be paid to the bank account of GTS specified by GTS in the respective invoice, stating the respective order number or the customer number as the purpose of payment. The debit of the bank account or the PayPal account of the contractual partner shall be made as advance payment. GTS shall receive the transfer credit note in each case.
(5) Only payments from accounts within the European Union (EU) are accepted. Any costs of a money transaction shall be borne by the customer.
(1) Delivery shall be made within the delivery period specified for the respective goods during the ordering process. If working days are specified as deadlines, this includes all days from Monday to Friday inclusive, with the exception of public holidays. After sending the ordered goods, the customer will automatically receive a confirmation to the specified e-mail address.
(2) Deliveries are made exclusively to addresses within the Federal Republic of Germany. Delivery to a post office box, packing station or similar is excluded.
(3) In the event of unavailability of the ordered goods for which GTS is not responsible as a result of untimely or incorrect delivery by our supplier despite a delivery contract concluded by GTS with the supplier for the ordered goods, GTS reserves the right not to deliver. In this case, GTS will immediately inform the customer of the non-availability of the ordered goods and will immediately refund any payments already received from the customer.
(4) If delivery is impossible due to force majeure, GTS shall be released from its obligation to deliver. Force majeure shall be deemed to be equivalent to circumstances which make delivery unreasonably difficult or impossible, irrespective of whether they occur at our premises or at the customer's premises.
(5) The risk of accidental deterioration and accidental loss of the goods shall pass to the customer in accordance with the statutory provisions, i.e. in particular upon handover or default of acceptance. GTS shall assume the risk of loss of or damage to the goods in transit if and to the extent that the customer is a consumer. Otherwise, the risk of GTS shall pass to the customer upon handover of the goods to the shipping service provider, unless the parties have expressly agreed otherwise.
(6) The risk of having to procure ordered goods (procurement risk) is not assumed by GTS. This also applies to the ordering of goods which are only described in terms of their type and characteristics (generic goods). GTS shall only be obliged to deliver from its own stock of goods and the goods ordered by GTS from suppliers.
(1) The liability for defects and damages of GTS is determined according to the statutory provisions, unless otherwise stipulated below.
(2) The respective descriptions of the goods in the heygold store and, if applicable, also more detailed manufacturer's specifications and instructions that are delivered together with the respective goods shall be deemed agreements on the quality. GTS does not assume any liability for quality specifications of third parties.
(3) Claims due to defects are subject to the statutory limitation period of two years, unless the customer is not a consumer. In this case, the general limitation period for claims for defects shall be one year from delivery of the respective goods, unless GTS is liable for damages in accordance with the following paragraph (4).
(4) In the event of breaches of duty - irrespective of the legal grounds - GTS shall only be liable for intent and gross negligence within the scope of liability for damages. In the case of simple negligence, GTS shall only be liable:
a. for damages resulting from injury to life, body or health, and
b. for damages resulting from the violation of an essential contractual obligation, i.e. an obligation the fulfillment of which makes the proper execution of the contract possible in the first place and on the observance of which the customer regularly relies and may rely.
(5) In the event of liability on the part of GTS, however, the amount of liability shall be limited to compensation for the foreseeable, typically occurring damage.
(6) The above limitations of liability shall also apply to breaches of duty by persons for whose fault GTS is responsible in accordance with statutory provisions. Claims under the Product Liability Act shall remain unaffected in all cases.
(1) All deliveries are made under reservation of title. The customer shall not acquire ownership of the goods until the purchase price has been paid in full.
(2) In the event of seizure of the goods subject to retention of title by third parties or in the event of other interventions by third parties, the customer must point out our ownership and must notify GTS immediately in writing so that GTS can enforce its ownership rights. If the third party is unable to reimburse the judicial or extrajudicial costs incurred in this connection, the purchaser shall be liable for these.
You have the right to revoke a purchase contract within fourteen days without giving any reason. The only exceptions to this are purchase contracts for precious metals, as set out in item (2).
The revocation period is fourteen days from the day on which you or a third party named by you, who is not the carrier, has or has taken possession of the last goods.
In order to exercise your right of withdrawal, you must inform us (GTS AG, Marzellenstrasse 12, 50667 Cologne, Email: support(at)heygold.com) by means of a clear declaration (e.g. a letter sent by post, fax or email) of your decision to withdraw from this contract. For this purpose, you may use the enclosed sample revocation form, which, however, is not mandatory.
In order to comply with the withdrawal period, it is sufficient that you send the notification of the exercise of the right of withdrawal before the expiry of the withdrawal period.
If you cancle this contract, we shall reimburse you all payments we have received from you, including delivery costs (with the exception of additional costs resulting from the fact that you have chosen a type of delivery other than the most favorable standard delivery offered by us), without undue delay and no later than within fourteen days from the day on which we received the notification of your revocation of this contract. For this repayment, we will use the same means of payment that you used for the original transaction, unless expressly agreed otherwise with you; in no case will you be charged any fees because of this repayment. We may refuse repayment until we have received the goods back or until you have provided proof that you have returned the goods, whichever is the earlier.
You must return or hand over the goods to us without undue delay and in any case no later than within fourteen days from the day on which you notify us of the revocation of this contract. The deadline is met if you send the goods before the expiry of the period of fourteen days.
You shall bear the direct costs of returning the goods.
You will only have to pay for any loss in value of the goods if this loss in value is due to handling of the goods that is not necessary for testing the condition, properties and functioning of the goods.
In the case of a purchase contract for precious metals offered in the heygold store of GTS, there is no right of revocation.
Pursuant to § 312 g para. 2 no. 8 BGB (German Civil Code), there is no right of revocation, since the distance contract concluded with GTS concerns the delivery of goods whose price is subject to fluctuations on the financial market over which GTS has no influence and which may occur within the revocation period.
End of the cancellation policy
(1) GTS is not legally obligated to participate in the consumer dispute resolution procedure pursuant to the German Consumer Dispute Resolution Act (Verbraucherstreitbeilegungsgesetz) and is generally not willing to do so.
(2) Voluntary participation within the meaning of Section 36 (1) No. 1 VSBG is waived.
(1) GTS collects and processes the customer's data necessary for the business transaction. When processing personal data of the customer, GTS shall observe the statutory provisions. Without the consent of the customer, GTS will only collect, process or use personal data of the customer insofar as this is necessary for the processing of the contractual relationship or a legitimate interest of GTS exists.
(2) In the context of inquiries by investigating authorities, GTS may be obligated, upon proof of the initiation of administrative offense or criminal proceedings, to forward personal data of the customer, in particular the address, to the investigating authorities to the extent necessary.
(3) With regard to the details and scope of the collection, storage and processing of the customer's personal data, reference is made to the data protection statement provided at https://www.heygold.com/datenschutz.
(1) The contract concluded with the customer is subject to German law. The application of the UN Convention on Contracts for the International Sale of Goods (CISG) is excluded.
(2) This contract contains all agreements made between the parties regarding the subject matter of the contract. Verbal collateral agreements do not exist.
(3) GTS reserves the right to change the description of services or the general terms and conditions and other conditions at any time and without giving reasons. Such changes shall not apply to orders already placed. GTS will only carry out these changes insofar as this is necessary to eliminate equivalence problems arising subsequently or to adapt to changed legal or technical framework conditions. In all other cases, GTS shall inform the customer of the content of the amended provisions at the e-mail address provided by the customer. In this case, the changes shall become an integral part of the contract if the customer does not object to their inclusion in the contractual relationship to GTS at least in text form within six weeks of receipt of the notification of change. In this case, GTS is entitled to terminate the contract.
(4) Should one or more provisions of these GTC be or become invalid or void, this shall not affect the validity of the remaining provisions.
(5) If the customer is a merchant, a legal entity under public law or a special fund under public law, the exclusive - including international - place of jurisdiction for all disputes arising from the contractual relationship shall be the registered office of GTS in Cologne, Germany. The same shall apply if the customer is another entrepreneur. Statutory mandatory places of jurisdiction shall remain unaffected.

GTS AG, Butzweilerstraße 35-39, 50829 Cologne, Germany (hereinafter referred to as "GTS") offers, in simple terms, the sale of an ERC20 token developed by it (hereinafter referred to as "heygold token") as well as the sale of co-ownership shares (co-ownership according to fractional shares) in a gold collection stock via the website operated by it at www.heygold.com (hereinafter referred to as "platform").
With the purchase of a heygold token, the contractual partner of GTS, who is either a consumer or an entrepreneur, acquires a co-ownership share in a gold collection stock. One heygold token documents by weight 0.1 gram of gold (with a fineness of 999.99/1000) of the total weight of the gold collection stock. The heygold token serves as proof of the said co-ownership share. GTS is responsible for the safekeeping of the gold collection stock and has commissioned Deutsche Edelmetallhaus GmbH, Marzellenstraße 12, 50667 Cologne (hereinafter referred to as "Depositary") with this task.
For the purpose of reselling the heygold token together with the co-ownership share, GTS has set up a heygold marketplace (hereinafter the "Marketplace"), which can be used by the contracting parties and third parties (hereinafter collectively the "Users") via a separate registration after identification in accordance with money laundering law and cooperation in meeting further legal requirements.
Insofar as the following refers to heygold tokens, this also necessarily always refers to the associated co-ownership share in a gold collection stock. The marketplace serves as an intermediary for financial instruments. The brokerage of the acquisition process of such financial instruments is carried out by GTS as a contractually bound broker of CONCEDUS GmbH with its registered office in Eckental (hereinafter "Concedus") in accordance with the regulatory requirements of the German Securities Institutions Act (Wertpapierinstitutsgesetz, WpIG) (see also Section XIII, "GTS as a contractually bound broker")
1. These General Terms and Conditions of Use (hereinafter referred to as "Terms and Conditions of Use") shall apply in principle to all brokerage and technical services offered on the marketplace as well as the use of the marketplace after successful activation by GTS, insofar as individual provisions do not apply only to the legal relationships with consumers or entrepreneurs and insofar as nothing to the contrary is expressly defined in individual cases.
2. A brokerage contract for the brokerage of financial instruments on the Marketplace is concluded between Concedus and the User with the successful completion of the identification procedure in accordance with the applicable money laundering provisions (Act on the Tracing of Profits from Serious Crimes - Money Laundering Act - GWG) (see Section IV, "Registration and Activation for the Marketplace").
3. The General Terms and Conditions of Concedus through a contractual relationship with the financial services institution and Secupay AG, Pulsnitz through a contractual relationship with the latter for the execution of the payment processes (cf. clause VIII, processing of purchase contracts) shall apply in addition.
4. Consumer is understood in the sense of § 13 BGB, any natural person who concludes a legal transaction for a purpose that can be attributed neither to their commercial nor their independent professional activity (hereinafter referred to as "consumer").
5. Any natural or legal person or partnership with legal capacity who, when concluding a legal transaction, acts in the exercise of his commercial or independent professional activity (hereinafter referred to as "Entrepreneur") shall be deemed to be an Entrepreneur within the meaning of Section 14 of the German Civil Code (BGB). A partnership with legal capacity is a partnership endowed with the capacity to acquire rights and incur liabilities.
6. The Terms of Use shall apply in their respective valid version between the aforementioned parties.
7. Upon conclusion of the contract on the use of the marketplace, the terms and conditions of use shall become an integral part of the respective contractual relationship between GTS and the user. Deviating terms and conditions of the user shall not be accepted. This also applies if GTS does not expressly object to their inclusion.
8. GTS reserves the right to change the service description or the terms of use and other conditions at any time and without giving reasons. Such changes shall apply exclusively for the future from the date of the change. GTS will only carry out these changes insofar as this is necessary to eliminate equivalence problems that arise subsequently or to adapt to changes in the legal or technical framework conditions. In all other cases, GTS shall inform the user of the content of the amended provisions at the e-mail address provided by the user. In this case, the changes shall become an integral part of the contract if the user does not object to their inclusion in the contractual relationship at least in text form within six weeks of receipt of the notification of change. In this case, GTS is entitled to terminate the contract on the use of the marketplace.
1. On the marketplace GTS mediates the acquisition of heygold tokens as a contractually bound intermediary of Concedus in terms of § 2 para. 10 KWG. GTS does not provide any asset, investment or tax advice. Contracting parties are advised to seek economic, tax and legal advice, in particular from a lawyer and tax advisor, before buying or selling heygold token securities.
2. Users can place offers for the sale of heygold tokens on the marketplace. GTS itself does not make any offers and does not become a party to the purchase contracts concluded between the contracting parties.
3. The marketplace is used exclusively for the sale of heygold tokens previously purchased on the platform of GTS.
4. The marketplace may only be used by persons who are
a. Are registered for the marketplace,
b. Have undergone an identification process that complies with the Money Laundering Act,
c. Have completed the appropriateness test required for investment brokerage purposes,
d. Have been approved for use by Concedus; and
e. Have a blockchain address (wallet) for heygold tokens (hereinafter "heygold wallet"). A heygold Wallet is generated either during registration in connection with the original acquisition of heygold Tokens or specifically in the course of registration under these Terms of Use (see Section IV, "Registration and Activation for the Marketplace".
5. The use of the marketplace is exclusively based on these terms of use.
1. The use of the marketplace and the services offered by GTS via it requires the one-time registration and creation of a user account of the User on the platform. Registration and the creation of a user account is carried out electronically by filling out and sending a form provided by GTS on the platform. Registration and use of the platform is free of charge for the user. Users are only permitted to register and use the platform if they are at least 18 years old and have unlimited legal capacity.
2. For the registration as a prerequisite for the conclusion of the contract between the parties, the entry of personal data of the user (name, first name, billing address, email address) is required. Registration under a pseudonym or another name as well as multiple registration is not permitted. The user has to act on his own account.
3. In addition, the user shall provide himself with an individualized password of his choice, which, together with the email address as user name, shall constitute the access data for the platform and its use (hereinafter referred to as "access data"). The contractual partner must keep the access data strictly secret.
4. As a contractually bound intermediary of Concedus, GTS is obliged by law (in particular the Money Laundering Act) to identify the User and any beneficial owner. In this case, the User is legally obligated to cooperate, in particular by submitting official identification documents and, if applicable, other necessary information and documents. Any changes arising in the course of the business relationship must be notified to GTS without delay.
5. In connection with the brokerage of financial instruments, the User shall complete an appropriateness test in order to disclose to GTS or Concedus, as the case may be, his knowledge and experience with respect to certain types of financial investments, to the extent that such information is necessary to assess the appropriateness of the financial investment for the Contract User. Appropriateness is judged by whether the user has the knowledge and experience necessary to adequately assess the risks associated with the type of financial investment. If the financial investment is not appropriate for the user, the user will be advised of this prior to the placement. In the event that the information required for an appropriateness assessment cannot be obtained, e.g. because the user does not provide any information, the user shall be informed prior to a placement that an assessment of appropriateness is not possible.
6. The user can only complete the registration if he/she has provided the information in accordance with clauses 2 to 5 and only after taking note of and agreeing to these terms of use of GTS.
7. GTS will forward the User's data collected during the registration process to Concedus. Concedus will check the information and in case of correctness and completeness will release the User to use the Marketplace. Following the approval, GTS will activate the User's account. The user will be informed about the activation by email to his given email address.
8. GTS and Concedus are entitled to refuse registrations or to exclude registered users from using the marketplace without giving a reason.#9. Every registered user can request the deletion or modification of his or her data provided during registration with GTS at any time, provided that there are no legal requirements to the contrary or the data is still necessary for the purposes for which it was collected. To delete or change this data, the user must send a corresponding e-mail to support@heygold.com. The user can view the data at any time in the section "MY PROFILE".
With the activation of the user to the marketplace, the user simultaneously instructs GTS to set up a heygold wallet and to provide the user with the corresponding blockchain address. This does not apply if the User already has a heygold wallet due to the original purchase of heygold tokens.
1. If a user intends to sell heygold tokens purchased by him on the marketplace (hereinafter referred to as "seller"), the seller may create an offer for sale on the marketplace in accordance with the following regulations via a form provided for this purpose.
2. In the form, the seller must first select the offer quantity, i.e. how many heygold tokens he would like to sell, specify EURO as the desired trading pair, i.e. that he would like to receive EURO for the heygold tokens, and the total price. In addition, information on the desired payment method and the associated payment data must be provided, if applicable. The seller is free in the offer creation.
3. All offers of a seller are stored in the user account of the contracting party (see section IX, "Administration").
4. Subject to payment of the costs provided for this purpose (cf. Section X "Costs"), the offer will be activated on the marketplace by GTS. After activation, the offer is visible on the marketplace for all registered users. In addition to the information provided by the seller in accordance with section 2, the name and any ratings of the seller, an offer number and the remaining term of the offer are visible.
5. After activation, the offer is valid for exactly 30 days (hereinafter referred to as the "Term"), starting on the day following the day on which the offer was activated. The created offer can always be changed and also withdrawn by the seller during the term (cf. Section IX "Administration"), provided that the offer has not yet been accepted. An offer for sale that has not been withdrawn may be accepted at any time, even during an amendment process. After 30 days have elapsed without the offer having been accepted, the seller may reactivate the offer at a discounted cost (cf. Section X "Costs"), thereby extending the term. The seller will receive a notification at least 48 hours before his offer expires.
6. If another user is interested in purchasing the offered heygold tokens (hereinafter referred to as "buyer"), the buyer can accept the seller's offer. For this purpose, the Buyer has to answer the inquiry whether he wants to accept the offer by clicking the button "Confirm". A confirmation of the acceptance of the offer is only possible after taking note of and agreeing to the General Terms and Conditions for heygold tokens (hereinafter "heygold GTC"). Subsequently, the buyer has to enter and confirm the address of his heygold wallet. By clicking the button "Buy now with obligation to pay" by the buyer, the purchase contract for the offered number of heygold tokens of the seller at the offered conditions is concluded; but only if no other buyer precedes the buyer. GTS informs the buyer and the seller about the conclusion of the purchase contract.
7. After acceptance of the offer, the offer shall be blocked until the transaction has been successfully completed. In the event that the transaction is not successfully completed (see Section VIII, "Settlement of Purchase Agreements"), the Offer shall be reactivated free of charge for the remaining term.
GTS as a contractually bound intermediary of Concedus publishes offers for sale via heygold tokens, i.e. via financial instruments, from sellers on the marketplace at the conditions specified by the seller. The offer is not modified by GTS. In particular, GTS itself does not provide buying and selling rates. A purchase contract for heygold tokens is concluded solely between the buyer and the seller. GTS does not become a party to the purchase contract. Buyer and seller are free to decide whether they want to enter into the purchase contract with each other. In particular, GTS has no influence on whether and under which conditions a purchase contract is concluded. Buyer and seller have no claim to the conclusion of a purchase contract for heygold tokens against GTS.
1. Payments within the scope of the purchase contracts mediated via the marketplace are processed exclusively through the intermediary of the external payment service provider Secupay.
2. If a purchase contract for heygold tokens is concluded between the buyer and seller via the marketplace, GTS forwards the agreement on the purchase price to Secupay. The transaction is then immediately processed by Secupay and the buyer is requested by Secupay to pay the purchase price to an account specified by Secupay. As soon as the purchase price has been credited to the account, the seller is informed. The seller then has to transfer the sold number of heygold tokens to the buyer's heygold wallet. The successful transfer has to be confirmed by the buyer to Secupay. Secupay will then pay out the purchase price to the seller.
3. The transfer of the heygold tokens is carried out via the heygold blockchain and immediately booked via the heygold wallets of the buyer and seller. All rights and obligations arising from the heygold token and the associated co-ownership share are transferred to the buyer after a successful transaction confirmed via the heygold blockchain. The heygold terms and conditions apply.
4. After successful completion of the purchase contract, the seller's offer is automatically deleted from the marketplace. In the user account of the seller, the offer is displayed as "completed".
5. Purchase contracts for heygold tokens outside the marketplace are not permitted.
Via the user account, all created and activated offers of the seller are visible to him and can be managed. Offers displayed as "open" are actively listed on the marketplace, but have not yet found a buyer and can be adjusted at any time. Offers displayed as "canceled" have been withdrawn by the seller, are no longer active and accordingly no longer listed on the marketplace. For offers displayed as "confirmed", a buyer has been found and the transaction is being processed. Such an offer can no longer be changed or accepted by any other buyer. On the marketplace, the offer is blocked accordingly. In case of an offer displayed as "closed", the transaction has been successfully completed with a buyer. The marking is purely informative for the seller, on the marketplace the offer is deleted.
1. The registration and the management of the user account for the marketplace is free of charge. This includes the integration of Secupay. Costs of the payment service providers selected by the buyer are to be borne by the buyer.
2. With the acceptance of an offer on the heygold marketplace as well as the subsequent settlement of this offer, a marketplace fee is due. The associated costs can be found in the current fee model and depend on the volume of the respective offer. The costs are borne by the buyer and can be viewed by the buyer prior to the acceptance of the offer on the heygold marketplace.
3. GTS draws the attention of buyers and sellers to the fact that taxes may be due on capital gains and interest and recommends that they consult a tax advisor. GTS does not provide legal and tax advice.
1. Liability of GTS and Concedus is excluded subject to contrary statutory provisions or the following limitations of liability.
2. The liability of GTS and Concedus is only possible for intentional or grossly negligent breaches of duty. Excluded from this is the liability for injury to life, body and health as well as essential contractual obligations (cardinal obligations), for which GTS and Concedus are already liable in each case for simple negligence.
3. There is no liability of GTS or Concedus towards the contracting parties in connection with the heygold tokens respectively aimed economic goals, especially not on the economic success or the compliance with any forecasts made in connection with heygold tokens.
4. GTS neither guarantees a successful mediation with regard to the acquisition or sale of heygold tokens, nor the successful execution of concluded purchase contracts. Users have no claim against GTS for successful mediation. Further liability rules in these GTC or the heygold GTC remain unaffected.
1. The contract of use according to these GTC is concluded for an indefinite period.
2. The user relationship can be terminated at any time by either party in writing or in text form (e.g. by e-mail) with a notice period of two weeks to the end of each calendar month. When the termination takes effect, the user's account will be deleted, as well as any active offers on the marketplace at that time. If a purchase contract is still being processed at the time the termination becomes effective in due time, the termination shall only become effective after successful processing.
3. An e-mail to support@heygold.com for the purpose of deleting the data shall be deemed to be a termination of the user contract in the aforementioned sense.
4. The right to extraordinary termination for good cause for both parties remains unaffected.
5. Notices of termination to GTS must be sent to the address given in the preamble or by e-mail (to support@heygold.com). Notices of termination to the User shall be sent to the postal or e-mail address specified during registration.
6. heygold tokens acquired by the user, the custody of the co-ownership shares in the gold collection stock by GTS or the custodian as well as recording and documentation obligations of GTS remain unaffected by a termination.
7. GTS will immediately delete all data of the registered user within the GTS or heygold systems after termination of the user contract within 30 days after the termination takes effect, as far as this is legally permissible, i.e. in particular as far as no legal retention or archiving periods are opposed. The data created in connection with the heygold wallet on the blockchain cannot be deleted due to its fundamental immutability and property as a continuous register.
1. GTS is a contractually bound intermediary of Concedus according to § 2 para. 10 sentence 6 of the German Banking Act (KWG) and is listed as a bound intermediary at the Federal Financial Supervisory Authority (BaFin). The liable company is Concedus GmbH, Schlehenstraße 14, 90542 Eckental. GTS acts as a contractually bound intermediary in the name, for the account and under the liability of Concedus, whereby GTS does not employ any sub-intermediaries. This applies only to brokerage and any consulting activities of GTS.
2. GTS is registered under: "BaFin - Register of Contractually Tied Agents" in the public register of contractually tied agents pursuant to Section 2 (10) sentence 6 of the German Banking Act (KWG) of the German Federal Financial Supervisory Authority (BaFin).
3. The brokerage activities of GTS are subject to a legal obligation to record and keep records, in particular pursuant to Section 83 of the German Securities Trading Act (WpHG). Communications with users in the course of brokerage activities are recorded and users agree to this. A copy of the records of these communications can be made available upon request of the user for a period of five years and - if requested by BaFin - for a period of seven years. As a contractually bound intermediary, GTS is subject to the obligation to allow Concedus to inspect its business records at any time, within the scope of its regulatory duties and rights. In addition, Concedus has a comprehensive right to issue instructions in order to safeguard management and control options in accordance with section 25b (1) sentence 1 of the KWG and section 80 (6) of the WpHG. As a contractually bound intermediary, GTS is obliged to tolerate audits and inspections of its business premises by the German Federal Financial Supervisory Authority (BaFin) and by Concedus' internal auditors and to cooperate in these audits.
4. GTS, as the contractually bound intermediary, has entered into a separate contractual agreement with Concedus, according to which GTS acts as a vicarious agent of Concedus for the brokerage of financial instruments (hereinafter "Assumption of Liability"). According to this agreement, Concedus is liable to the contracting parties for all damages that arise due to a breach of duty by the contractually bound intermediary GTS, if and to the extent that any limitations of liability from these GTC or from the brokerage agreement or GTC of Concedus do not conflict with this. Other activities of GTS, which do not include the brokerage of financial instruments, do not include the assumption of liability by Concedus.
5. The brokerage shall take place exclusively via the marketplace operated by GTS. GTS is not permitted to acquire ownership or possession of the contracting party's funds on behalf of third parties within the scope of the brokerage.
6. GTS expressly does not provide any asset, investment or tax advice. It is recommended that contractual partners obtain advice from appropriately knowledgeable experts before selling or buying heygold tokens.
The heygold tokens brokered by GTS may be subject to economic, legal and tax risks. Forecasts of future value developments may develop differently than expected and predicted, even with conservative estimates and calculations. The acquisition of heygold-Tokens is associated with risks and may lead to the partial or even complete loss of the invested assets (partial loss risk or total loss risk). The suitability of an investment in heygold tokens is only given for those investors who can financially cope with a partial or complete loss of the invested capital in case of a negative development. The capital investment is not suitable for investors who have a short-term liquidity need. In particular, investment is not suitable for retirement provision.
Grow Motion Anteile der GTS AG, Köln

Diese Allgemeinen Geschäftsbedingungen (nachfolgend „AGB") gelten grundsätzlich für alle gegenwärtigen und zukünftigen vertraglichen Geschäftsbeziehungen zwischen der GTS AG, Marzellenstrasse 12, 50667 Köln (nachfolgend „GTS") und Bestellern, also Kunden der GTS, die entweder Verbraucher oder Unternehmer sind (nachfolgend zusammen „Vertragspartner“), soweit nicht einzelne Bestimmungen nur auf die Rechtsbeziehungen mit Verbrauchern oder Unternehmern Anwendung finden und diese AGB ausdrücklich anderes regeln.
Dabei versteht sich unter Verbraucher im Sinne des § 13 BGB, jede natürliche Person, die ein Rechtsgeschäft zu einem Zwecke abschließt, der weder ihrer gewerblichen noch ihrer selbständigen beruflichen Tätigkeit zugerechnet werden kann (nachfolgend „Verbraucher“ genannt).
Als Unternehmer im Sinne des § 14 BGB ist jede natürliche oder juristische Person oder eine rechtsfähige Personengesellschaft anzusehen, die bei Abschluss eines Rechtsgeschäfts in Ausübung ihrer gewerblichen oder selbständigen beruflichen Tätigkeit handelt (nachfolgend „Unternehmer“ genannt). Eine rechtsfähige Personengesellschaft ist eine Personengesellschaft, die mit der Fähigkeit ausgestattet ist, Rechte zu erwerben und Verbindlichkeiten einzugehen.
Die AGB gelten dabei in ihrer jeweils gültigen Fassung bei Abschluss eines Vertrages zwischen den vorgenannten Parteien.
GTS bietet vereinfacht ausgedrückt über die von ihr betriebene Internetseite unter www.heygold.com (nachfolgend „Plattform“ genannt) den Kauf, und die Veräußerung von Miteigentumsanteilen (Miteigentum nach Bruchteilen) an einer Pflanze (nachfolgend „Grow Motion-Anteil“ genannt) an. Mit dem Erwerb eines Grow Motion-Anteils erwirbt der Vertragspartner einen Miteigentumsanteil an einer Pflanze. Ein Grow Motion-Anteil dokumentiert 1/20 einer Pflanze. GTS beauftragt für den Anbau, die Pflege, die Ernte sowie die Verwendung der Ernte die Grow Motion AG, Luterbachstrasse 10, 4528 Zuchwil (nachfolgend „Plantagenbetrieb“ genannt).
GTS bietet dem Vertragspartner zudem den Rückkauf des Grow Motion-Anteils über die Plattform an (vgl. Ziffer IV.3.).
Die AGB werden mit Abschluss des Vertrages wesentlicher Vertragsbestandteil der jeweiligen Vertragsbeziehung zwischen GTS und dem Vertragspartner, die neben dem Erwerbsvorgang des Grow Motion-Anteils zusammen mit dem Miteigentumsanteil auch die Verwahrung des Miteigentumsanteil durch GTS regelt. Abweichende Bedingungen des Vertragspartners werden nicht akzeptiert. Dies gilt auch, wenn GTS der Einbeziehung nicht ausdrücklich widerspricht.
GTS behält sich vor, Änderungen der Leistungsbeschreibung oder der AGB und sonstiger Bedingungen jederzeit und ohne Angabe von Gründen zu ändern. Solche Änderungen gelten nicht für bereits getätigte Bestellungen. GTS wird diese Änderungen nur ausführen soweit dies zur Beseitigung nachträglich entstehender Äquivalenzstörungen oder zur Anpassung an veränderte gesetzliche oder technische Rahmenbedingungen notwendig ist. Im Übrigen wird GTS den Vertragspartner unter Mitteilung des Inhalts der geänderten Regelungen an die vom Vertragspartner mitgeteilte Email-Adresse informieren. Die Änderungen werden in diesem Fall Vertragsbestandteil, wenn der Vertragspartner nicht binnen sechs Wochen nach Zugang der Änderungsmitteilung der Einbeziehung in das Vertragsverhältnis gegenüber GTS zumindest in Textform widerspricht. In diesem Fall ist GTS zur Kündigung des Vertrages berechtigt.
GTS kann aufgrund gesetzlicher Vorschriften (insbesondere Geldwäschegesetz, Abgabenordnung) in bestimmten Fällen zur Identifizierung seiner Vertragspartner und eines etwaigen wirtschaftlich Berechtigten verpflichtet sein. In diesem Fall ist der Vertragspartner gesetzlich zur Mitwirkung, insbesondere Vorlage von amtlichen Ausweisdokumenten und ggf. weiterer notwendiger Informationen und Unterlagen, verpflichtet. Sich im Laufe der Geschäftsbeziehung ergebende Änderungen sind unverzüglich gegenüber GTS anzuzeigen. Unabhängig von gesetzlichen Vorschriften behält sich GTS generell eine Identitätsprüfung seiner Vertragspartner aus Sicherheitsgründen vor.
Die Inanspruchnahme der Plattform und der von GTS darüber angebotenen Leistungen setzt die einmalige Registrierung und Einrichtung eines Nutzerkontos des Vertragspartners auf der Plattform voraus. Die Registrierung und die Anlage eines Nutzerkontos erfolgt durch das Ausfüllen und Absenden eines von GTS auf der Plattform vorgehaltenen Formulars auf elektronischem Weg. Der Vertragspartner kann das vorgenannte Formular nur nach Kenntnisnahme und Zustimmung zu den Allgemeinen Geschäftsbedingungen von GTS zum Versand bringen. Die Registrierung und Nutzung der Plattform ist für den Vertragspartner unentgeltlich. Vertragspartnern ist eine Registrierung und Nutzung der Plattform nur gestattet, wenn sie mindestens das 18. Lebensjahr vollendet haben und unbeschränkt geschäftsfähig sind.
Für die Registrierung als Voraussetzung des Vertragsschlusses zwischen den Parteien ist die Eingabe persönlicher Daten des Nutzers (Name, Vorname, Rechnungsanschrift, Email-Adresse) erforderlich. Eine Registrierung unter Pseudonym oder einem anderen Namen sowie die Mehrfachregistrierung ist unzulässig. Der Vertragspartner hat auf eigene Rechnung zu handeln.
Der Vertragspartner gibt sich zudem ein individualisiertes frei wählbares Passwort, welches zusammen mit der Email-Adresse als Benutzernamen die Zugangsdaten für die Plattform und deren Nutzung darstellen (nachfolgend „Zugangsdaten“ genannt). Die Zugangsdaten hat der Vertragspartner strikt geheim zu halten.
GTS behält sich das Recht vor, Anmeldeanträge abzulehnen bzw. registrierte Vertragspartner ohne Angabe eines Grundes von der Nutzung der Plattform auszuschließen.
Jeder registrierte Vertragspartner kann jederzeit die Löschung oder Änderung seiner im Rahmen der Registrierung angegebenen Daten bei GTS beantragen, sofern nicht gesetzliche Vorgaben entgegenstehen oder die Daten für Zwecke, für die sie erhoben wurden, noch notwendig sind. Für die Löschung oder Änderung dieser Daten muss der Kunde eine entsprechende Email an support@heygold.com senden. Der Vertragspartner kann die Daten jederzeit in der Rubrik „MEIN PROFIL“ einsehen.
Der registrierte Vertragspartner kann die auf der Plattform dargestellten und angebotenen Grow Motion-Anteile an dem Pflanzensammelbestand über den Button „KAUFEN“ auswählen. Die bloße Darstellung der Grow Motion-Anteils an einem Pflanzensammelbestand auf der Plattform als solches stellt kein verbindliches Angebot seitens GTS dar, sondern lediglich die Aufforderung zur Abgabe einer Bestellung (invitatio ad offerendum).
Über den Button „KAUFEN“ gelangt der Vertragspartner zu einer Übersichts-Seite „Wallet“. Dort bekommt er einen Überblick, über die von ihm über die Plattform getätigten Anteilskäufe, insbesondere bei der Auswahl der Kachel „Grow Motion“ seinen jeweils aktuellen Bestand an Grow Motion-Anteilen angezeigt. Zudem erhält der Vertragspartner dort die Möglichkeit zum Kauf von weiteren Grow Motion-Anteilen in dem er eine beliebige und von ihm frei wählbaren Anzahl der von ihm zu bestellenden Grow Motion-Anteilen eingibt. Daneben wird der jeweilige aktuelle Einzelpreis eines Grow Motion-Anteils aufgeführt, sowie der vom Vertragspartner zu zahlende Gesamtpreis.
Durch das Drücken des Bestellbuttons „WEITER“ gelangt der Vertragspartner auf eine Übersichtsseite die ihm nochmals den jeweils aktuellen Bestand seiner Grow Motion-Anteile, sowie die Daten seiner aktuellen Bestellung (Anzahl, Einzelpreis und Gesamtpreis) anzeigt. Der Vertragspartner kann dann jeweils auswählen, mit welche der von GTS angebotenen Zahlarten Banküberweisung, Sofortüberweisung, PayPal oder giropay/paydirekt er den jeweiligen Gesamtpreis zahlen möchte.
Drückt der Vertragspartner nach erforderlicher Auswahl der Zahlungsart, den Button „JETZT KAUFEN“ gibt er einen verbindlichen Antrag und damit ein Angebot zum Kauf der im Warenkorb befindlichen Grow Motion-Anteile gegenüber GTS ab. Im Rahmen der Abgabe des Angebots erklärt sich der Vertragspartner damit einverstanden, dass GTS den Plantagenbetrieb mit der Pflege der Miteigentumsanteile an einem Pflanzensammelbestand im eigenen Namen unterbeauftragt (Besitzmittlungsverhältnis). Alle Angebote von GTS gelten „solange der Vorrat reicht“, wenn nicht bei den jeweiligen Warenangebot etwas anderes vermerkt ist.
GTS schickt daraufhin dem Vertragspartner eine automatische Empfangsbestätigung per Email zu, die im Anhang die Rechnung zur jeweiligen Bestellung des Vertragspartners enthält und die der Vertragspartner über die reguläre Systemfunktion „Speichern“ und „Drucken“ elektronisch speichern und ausdrucken kann. Die automatische Empfangsbestätigung dokumentiert lediglich, dass das vorgenannte Angebot des Vertragspartners bei GTS eingegangen ist und stellt keine Annahme dieses Angebotes dar.
Der Vertragspartner verzichtet ausdrücklich auf den Zugang einer Annahmeerklärung durch GTS. GTS ist jedoch insoweit auch berechtigt, das Angebot des Vertragspartners ohne Angabe von Gründen abzulehnen. Insoweit kommt der Vertrag bei der vorstehend beschriebenen Angebotsabgabe entweder durch Zusendung einer entsprechenden Annahmeerklärung oder durch den Vollzug der Leistung (vgl. nachfolgende Ziffer II.2) durch Pflegeauftrag des Grow Motion-Anteils bei dem Plantagenbetrieb und dem Hinzufügen eben dieses Grow Motion-Anteils zum Pflanzensammelbestand (Annahme) zustande, je nachdem welches zeitlich früher erfolgt. Hierüber wird GTS den Vertragspartner mindestens in Textform (Email) informieren.
In der Email mit der Empfangsbestätigung oder in einer separaten Email wird der Vertragstext (bestehend aus Bestellung, Rechnung und AGB) dem Vertragspartner von GTS auf einem dauerhaften Datenträger (Email oder Papierausdruck) zugesandt. Der Vertragstext wird zudem unter Wahrung des Datenschutzes gespeichert.
Vertragsgegenstand ist der Kauf sowie die unentgeltliche Pflege und die Übertragung von Miteigentumsanteilen an einem Pflanzensammelbestand (Miteigentum nach Bruchteilen). Die Miteigentümer bilden eine Bruchteilsgemeinschaft im Sinne der §§ 741 ff. BGB. Je Grow Motion-Anteil überträgt GTS dem Vertragspartner nach jeweils vollständiger Bezahlung einen Miteigentumsanteil an dem nachfolgend näher bezeichneten Pflanzensammelbestand, der 1/20 einer Pflanze des gesamten Pflanzensammelbestandes beträgt.
Dabei erwirbt GTS in eigenem Namen Pflanzen vom Plantagenbtrieb und beauftragt diesen gleichzeitig mit der Pflege . GTS verschafft dem Vertragspartner Eigentum an dem gekauften Pflanzenanteil durch die Einräumung von Miteigentumsanteilen entsprechend des Umfangs der vom Vertragspartner erworbenen Grow Motion-Anteile.
a) Übertragung von Miteigentumsanteil
Die Übertragung des Miteigentums erfolgt unter der aufschiebenden Bedingung der vollständigen Bezahlung durch die Einigung zwischen GTS und dem Vertragspartner, dass der Vertragspartner Miteigentümer am Pflanzensammelbestand werden soll und der Vereinbarung eines sog. Besitzmittlungsverhältnisses, wie nachfolgend beschrieben:
Ein Besitzmittlungsverhältnis liegt vor, wenn GTS für den Vertragspartner unter Anerkennung dessen (Bruchteils)eigentums dessen Bruchteil pflegt, bzw. durch einen Dritten pflegen lassen will. Dabei erhält der Vertragspartner mit Annahme seines Angebots durch GTS einen Herausgabeanspruch gegenüber dieser auf Herausgabe des Pflanzensammelbestands an alle Miteigentümer im Sinne des § 432 BGB (i) im Falle der Beendigung des Pflegevertrages zwischen GTS und dem Plantagenbetrieb (sofern GTS keinen neuen Pflegevertrag mit einem Dritten schließt) oder (ii) im Falle der gesetzlich vorgesehenen Aufhebungsmöglichkeiten der Bruchteilsgemeinschaft zwischen den Miteigentümern.
Die Parteien sind sich insoweit über den Eigentumsübergang durch Gutschrift auf das Nutzerkonto des Vertragspartners einig.
b) Pflege des Miteigentumanteils
Die GTS wird den Plantagenbetrieb darüber aufklären, dass der Pflanzensammelbestand im Miteigentum der Vertragspartner steht und vertraglich sicherstellen, dass Pfandrechte oder Zurückbehaltungsrechte des Plantagenbetrieb nur wegen solcher Forderungen geltend gemacht werden können, die mit Bezug auf den Pflanzensammelbestand entstanden sind.
Die GTS wird vertraglich sicherstellen, dass der Plantagenbetrieb den Pflanzensammelbestand gegen Diebstahl, Feuer und Wasserschäden versichert. Die GTS haftet nicht für einfache Fahrlässigkeit des Plantagenbetrieb. Dem Vertragspartner steht im Falle der Insolvenz des Plantagenbetrieb gemäß § 47 InsO ein Aussonderungsrecht zu, das von der GTS im Namen der Miteigentümer des Pflanzensammelbestands geltend gemacht wird.
Der Vertragspartner erklärt sich ausdrücklich mit einer Sammelverwahrung einverstanden. Der Pflanzensammelbestand beinhaltet alle Pflanzen, die sich im Zeitpunkt des Vertragsschlusses sowie zukünftig in den Gewächshäusern des Plantagenbetrieb mit der Aufschrift „heygold“ befinden bzw. zukünftig befinden werden. GTS versichert, dass die im Sammelbestand befindlichen Pflanzen mindestens der verkauften Grow Motion-Anteil-Anzahl entspricht. Dies wird jährlich von einem Wirtschaftsprüfer überprüft.
GTS ist berechtigt, eigenständig und ohne vorherige Abstimmung mit dem Vertragspartner, die Zusammensetzung des Pflanzensammelbestands in Bezug auf die dort befindlichen Pflanzen zu ändern, sofern die Gesamtanzahl der im Pflanzensammelbestand befindlichen Pflanzen vor und nach der Anpassung im Verhältnis zu den emittierten Grow Motion-Anteilen nicht unterschritten wird.
GTS führt ein Verzeichnis zur Verwaltung der Miteigentumsanteile an dem genannten Pflanzensammelbestand. Hieraus ist insbesondere ersichtlich, welchem Vertragspartner, welche Anzahl an Grow Motion-Anteilen zugeordnet ist. Die erfassten Pflanzenanteile pro Vertragspartner ist für die Bestimmung des Miteigentumsanteils am Gesamtbestand des Pflanzensammelbestands maßgebend.
Im Falle der Beendigung des Pflegevertrages mit dem Plantagenbetrieb wird GTS diese Information auf der Plattform frei zugänglich veröffentlichen.
c) Bruchteilsgemeinschaft
Alle Miteigentümer bilden eine Bruchteilsgemeinschaft im Sinne der §§ 741 ff. BGB.
Über den Fall der Beendigung des Pflegevertrages ohne Abschluss eines neuen Pflegevertrages hinaus ist eine Aufhebung der Bruchteilsgemeinschaft – auch mit Wirkung über den Tod des Vertragspartners hinaus – für immer ausgeschlossen. Die gesetzlichen Aufhebungsmöglichkeiten bleiben unberührt. Die gemeinschaftliche Verwaltung nach §§ 744 und 745 BGB ist ausgeschlossen.
Wird der Herausgabeanspruch an alle Miteigentümer unter den vorgenannten Voraussetzungen von einem Miteigentümer geltend gemacht, ist GTS berechtigt, den Pflanzensammelbestand zum aktuellen marktüblichen Verkaufspreis (Händlerabgabepreis) im Namen aller Miteigentümer zu veräußern. GTS wird den Liquiditätserlös durch Auszahlung des jeweiligen Anteils durch Überweisung auf die jeweils angegebene Bankverbindung auskehren.
Die auf der Plattform angegebenen Preise verstehen sich als Bruttopreise inklusive der aktuell gültigen 7% Umsatzsteuer.
Die Zahlung des Kaufpreises für einen Grow Motion-Anteil und den damit dokumentierten Miteigentumsanteil an einem Pflanzensammelbestand, ist jeweils vor dem Vertragsschluss fällig.
GTS erkennt insoweit nur die in der Plattform angezeigten Zahlungsarten (Banküberweisung, Sofortüberweisung, PayPal, giropay/paydirekt) an. Insoweit ist der Kaufpreis unter Angabe der jeweiligen Bestellnummer oder der Kundennummer als Verwendungszweck auf die von GTS in der jeweiligen Rechnung angegebene Bankverbindung von GTS zu bezahlen. Die Belastung des Bankkontos, bzw, des PayPal-Kontos des Vertragspartners erfolgt dabei als Vorauskasse. GTS erhält jeweils die Überweisungsgutschrift.
Erfolgt binnen 24 Stunden nach Versand des Vertragstextes kein Zahlungseingang auf die jeweilig angegebene Bankverbindung oder das PayPal-Konto von GTS oder nur ein nicht vollständiger Zahlungseingang, ist GTS berechtigt vom Vertrag zurückzutreten. Tritt GTS vom Vertrag zurück, wird GTS den Grow Motion-Anteil nicht mehr liefern, auch wenn der Vertragspartner nach dem Erhalt der Rücktrittserklärung noch den ursprünglich von GTS geforderten Betrag an diese zahlt.
Der Pflegevertrag wird auf unbestimmte Zeit geschlossen. Der Vertragspartner kann den Pflegevertrag ganz oder teilweise mindestens in Textform (bspw. per Brief, per Email oder per Telefax) kündigen. Bestimmt der kündigende Vertragspartner in der Kündigung nicht ausdrücklich einen anderen Termin, so erfolgt die Kündigung in der Regel mit einer Frist von zwei (2) Wochen zum jeweiligen Monatsende. Mit Beendigung des Pflegevertrages wird der Vertragspartner die in seinem Eigentum stehenden Grow Motion-Anteile an GTS nach den Regelungen dieser AGB zurück verkaufen. Im Übrigen gilt die Regelung der Ziffer III.2 lit c) dieser AGB.
Klarstellend wird festgehalten, dass eine Herausgabe des jeweiligen Miteigentumsanteils an den Vertragspartner ausgeschlossen ist. Insoweit kann nur ein Herausgabeanspruch an alle Miteigentümer der Bruchteilsgemeinschaft geltend gemacht werden. In diesem Fall ist GTS berechtigt, den Pflanzensammelbestand zum aktuellem Marktpreis im Namen aller Miteigentümer zu veräußern. GTS wird den Liquiditätserlös durch Auszahlung des jeweiligen Anteils durch Überweisung auf die jeweils angegebene Bankverbindung auskehren.
Eine Kündigung des Pflegevertrages durch GTS kann nur aus wichtigem Grund erfolgen. Ein wichtiger Grund im Sinne dieser AGB liegt insbesondere vor, wenn
a) der Vertragspartner falsche Angaben im Zusammenhang mit dem Vertragsschluss macht
b) der Vertragspartner im Zusammenhang mit dem Vertragsverhältnis gegen gesetzliche Vorschriften, insbesondere des Geldwäschegesetztes /GwG), den geltenden Embargovorschriften oder den Vorschriften zur Bekämpfung der Terrorismusfinanzierung und/oder anderen strafrechtlichen Regelungen verstößt,
c) der Vertragspartner der GTS und/oder den Plantagenbetrieb vorsätzlich schädigt oder versucht zu schädigen,
d) der Vertragspartner einer Änderung dieser Vertragsbedingungen nicht zustimmt und GTS die Fortsetzung des Vertrages ohne die Änderungen der Vertragsbedingungen nicht zumutbar ist (vgl. Ziffer I. dieser AGB) und
e) der Plantagenbetrieb ihre geschäftliche Beziehung mit GTS, gleich aus welchen Gründen auch immer, beendet, ohne dass GTS dies zu vertreten hat.
Klarstellend weisen wir nochmals darauf hin, die Beendigung des Pflegevertrages keine Auswirkung auf den Bestand der Bruchteilsgemeinschaft hat. Das Recht zur Aufhebung der Bruchteilsgemeinschaft ist ausgeschlossen
Die Gewährleistungsrechte des Vertragspartners richten sich nach den allgemeinen gesetzlichen Vorschriften des Bürgerlichen Gesetzbuches (BGB), soweit nachfolgend nichts anderes bestimmt ist:
Die Verjährungsfrist für Gewährleistungsansprüche beträgt bei Vertragspartnern, die Verbraucher sind 2 Jahre, bzw. bei Vertragspartnern die Unternehmer sind 1 Jahr.
Eine Verkürzung der gesetzlichen Verjährungsfristen gilt nicht für Schadensersatzansprüche des Vertragspartners aufgrund einer Verletzung des Lebens, des Körpers, der Gesundheit sowie für Schadensersatzansprüche aufgrund einer Verletzung wesentlicher Vertragspflichten.
Wesentliche Vertragspflichten sind solche, deren Erfüllung die ordnungsgemäße Durchführung des Vertrages überhaupt erst ermöglicht wird und/oder auf deren Einhaltung der Kunde regelmäßig vertrauen darf (sog. Kardinalpflichten). Eine Verkürzung der gesetzlichen Verjährungsfristen gilt ebenfalls nicht für Schadensersatzansprüche, die auf einer vorsätzlichen oder grob fahrlässigen Pflichtverletzung der GTS, seiner gesetzlichen Vertreter oder Erfüllungsgehilfen beruhen. § 478 BGB und die Vorschriften des Produkthaftungsgesetzes (ProdHaftG) bleiben von dieser Regelung unberührt.
Liegt ein Mangel vor, ist GTS zur Nacherfüllung berechtigt. GTS ist jedoch auch berechtigt, die vom Vertragspartner gewählte Art der Nacherfüllung zu verweigern, wenn sie nur mit unverhältnismäßigen Kosten möglich ist und eine andere Art der Nacherfüllung ohne erhebliche Nachteile für den Vertragspartner bleibt. Während der Nacherfüllung sind die Herabsetzung des Kaufpreises oder der Rücktritt vom Vertrag durch den Vertragspartner ausgeschlossen.
Schlägt die Nacherfüllung mindestens zweimal fehl, ist der Vertragspartner berechtigt, zu mindern oder nach seiner Wahl vom Vertrag zurückzutreten.
Der Vertragspartner darf über den Grow Motion-Anteil nur mit ausdrücklicher Zustimmung der GTS verfügen. Ein bilateraler Handel des Grow Motion-Anteils außerhalb des von GTS eingerichteten Markplatzes und des Online-Shops ist nicht vorgesehen.
Der Vertragspartner verpflichtet sich, die Miteigentumsanteile am Pflanzensammelbestand nicht zu verpfänden oder auf sonstige Art und Weise zu belasten.
Die Übertragung eines Grow Motion-Anteils erfolgt nach entsprechender Einigung durch die Abtretung des Herausgabeanspruchs des jeweiligen Miteigentumsanteils aus dem Vertragsverhältnis mit GTS.
Ein Miteigentumsanteil am Pflanzensammelbestand, kann übertragen werden, somit kann ein Grow Motion-Anteil übertragen werden.
Der Vertragspartner ist berechtigt die ihm gehörenden Grow Motion-Anteile an GTS zurück zu verkaufen. Zu diesem Zweck kann der der Vertragspartner über sein Benutzerkonto auf der Plattform GTS eine von ihm zu wählende Anzahl der in seinem Eigentum stehenden Grow Motion-Anteile auswählen und GTS zum (Rück)Kauf anbieten.
Zu diesem Zweck muss der Vertragspartner den Button „VERKAUFEN“ drücken. Der Vertragspartner kann die Anzahl der von ihm zum Rückkauf angebotenen Grow Motion-Anteile in der vorgehaltenen Eingabemaske eintragen. Dabei ist die Anzahl der zum Verkauf anbietbaren Grow Motion-Anteile auf die im Verzeichnis zur Verwaltung der Miteigentumsanteile dem Vertragspartner aufgeführten Anteilsanzahl begrenzt. Mit dem Button „ANGEBOT EINHOLEN“ übermittelt der Vertragspartner seine Einladung zur Abgabe eines Rückkaufangebots an GTS. Diese übermittelt dem Vertragspartner unverzüglich ein Angebot, welches sich am jeweils aktuellen Marktpreis orientiert. Das Angebot ist zeitlich befristet auf 5 Minuten. Hierauf wird der Vertragspartner jeweils deutlich sichtbar hingewiesen. Nimmt der Vertragspartner das Angebot von GTS zum Rückkauf an, so muss er dies durch Drücken des Buttons „ANGEBOT ANNEHMEN UND JETZT VERKAUFEN“ und die Eingabe seiner gültigen Bankverbindung bestätigen. Erst mit Gutschrift des Verkaufspreises auf der vom Vertragspartner angegebenen Bankverbindung wird das Eigentum an dem Grow Motion-Anteil vom Vertragspartner an GTS übertragen. Der Vertragspartner überträgt zu diesem Zweck den Herausgabeanspruchs des jeweiligen Miteigentumsanteils an GTS. GTS nimmt diese Abtretung an.
Eine physische Auslieferung der Grow Motion-Anteile an den Vertragspartner im Falle der Beendigung des Verwahrungsvertrages gleich aus welchem Grund ist nicht möglich, vgl. Ziffer III.4
Will der Vertragspartner das Angebot von GTS auf Rückkauf des Grow Motion-Anteils nicht annehmen, kann er diesen auch an einen anderen Nutzer der Plattform veräußern. Zu diesem Zweck wird GTS einen Marktplatz zur Weiterveräußerung und Weiterübertragung der Grow Motion-Anteile einrichten. Für die Nutzung des Marktplatzes ist u.a. eine gesonderte Registrierung erforderlich.
Wird das Nutzerkonto des Vertragspartners für die Nutzung des Marktplatzes freigeschaltet, kann der Vertragspartner ein Angebot zur Übertragung von Grow Motion-Anteilen unterbreiten. Weitere Einzelheiten regeln die AGB für die Nutzung des Marktplatzes.
Die nachfolgenden Ausführungen stellen die als wesentlich erachteten tatsächlichen und rechtlichen Risiken im Zusammenhang mit dem Erwerb von Grow Motion-Anteilen zusammen mit dem Miteigentumsanteil dar. Es kann jedoch nicht ausgeschlossen werden, dass infolge besonderer individueller und somit nicht bekannter Umstände beim Vertragspartner weitere individuelle Risiken eintreten können, die für GTS nicht vorhersehbar sind oder sich dadurch Risikofolgen intensivieren ebenso wie durch das Hinzutreten allgemeiner negativer wirtschaftlicher Umstände, wie etwa einer weltweiten Finanz-, Währungs- und/oder Wirtschaftskrise, ggf. als Folge einer Pandemie.
Diese und die nachstehend dargestellten Risiken entbinden den Vertragspartner nicht davon, sich ein eigenständiges Urteil hinsichtlich des Angebots von Grow Motion-Anteilen zu bilden und zur Grundlage seiner Entscheidung zu machen. Individuelle Risiken aus der persönlichen Situation des Vertragspartners können hier nicht dargestellt werden. Daher kann es zur Beurteilung des Angebots für den Vertragspartner empfehlenswert sein, den Rat von eigenen Beratern einzuholen.
Dem Vertragspartner ist bekannt, dass der Erwerb des Grow Motion-Anteils (Miteigentumsanteil an einem Pflanzensammelbestand) ein Verlustrisiko für sein eingesetztes Kapital bis zum Totalverlust beinhaltet. Dem Vertragspartner ist ferner bekannt, dass der Grow Motion-Anteil keinen Anspruch auf die Herausgabe von Pflanzen, auch nicht in Höhe des Miteigentumsanteil gewährt und der Grow Motion-Anteil ohne ausdrückliche Zustimmung von GTS nicht übertragbar ist.
Dem Vertragspartner steht ein gesetzliches Widerrufsrecht zu.

Sie haben das Recht, binnen vierzehn Tagen ohne Angabe von Gründen den Vertrag zu widerrufen. Die Widerrufsfrist beträgt vierzehn Tage ab dem Tage des Vertragsschlusses.
Um Ihr Widerrufsrecht auszuüben, müssen Sie uns (GTS AG, Marzellenstrasse 12, 50667 Köln, E-Mail: support@heygold.com) mittels einer eindeutigen Erklärung (z. B. ein mit der Post versandter Brief oder E-Mail) über Ihren Entschluss, diesen Vertrag zu widerrufen, informieren. Sie können dafür das beigefügte Muster-Widerrufsformular verwenden, das jedoch nicht vorgeschrieben ist.
Zur Wahrung der Widerrufsfrist reicht es aus, dass Sie die Mitteilung über die Ausübung des Widerrufsrechts vor Ablauf der Widerrufsfrist absenden.
Wenn Sie diesen Vertrag widerrufen, haben wir Ihnen alle Zahlungen, die wir von Ihnen erhalten haben, einschließlich der Lieferkosten (mit Ausnahme der zusätzlichen Kosten, die sich daraus ergeben, dass Sie eine andere Art der Lieferung als die von uns angebotene, günstigste Standardlieferung gewählt haben), unverzüglich und spätestens binnen vierzehn Tagen ab dem Tag zurückzuzahlen, an dem die Mitteilung über Ihren Widerruf dieses Vertrags bei uns eingegangen ist. Für diese Rückzahlung verwenden wir dasselbe Zahlungsmittel, das Sie bei der ursprünglichen Transaktion eingesetzt haben, es sei denn, mit Ihnen wurde ausdrücklich etwas anderes vereinbart; in keinem Fall werden Ihnen wegen dieser Rückzahlung Entgelte berechnet. Haben Sie verlangt, dass die Dienstleistungen während der Widerrufsfrist beginnen sollen, obwohl Sie vor Abgabe Ihrer Vertragserklärung auf die Rechtsfolge hingewiesen wurden und dieser ausdrücklich zugestimmt haben, so haben Sie uns einen angemessenen Betrag zu zahlen, der dem Anteil der bis zu dem Zeitpunkt, zu dem Sie uns von der Ausübung des Widerrufsrechts hinsichtlich dieses Vertrags unterrichten, bereits erbrachten Dienstleistungen im Vergleich zum Gesamtumfang der im Vertrag vorgesehenen Dienstleistungen entspricht („Wertersatz“).
Besteht eine Verpflichtung zur Zahlung von Wertersatz, kann dies dazu führen, dass Sie die vertraglichen Zahlungsverpflichtungen für den Zeitraum bis zum Widerruf dennoch erfüllen müssen. Ihr Widerrufsrecht erlischt vorzeitig, wenn der Vertrag von beiden Seiten auf Ihren ausdrücklichen Wunsch vollständig erfüllt ist, bevor Sie Ihr Widerrufsrecht ausgeübt haben.
Verpflichtungen zur Erstattung von Zahlungen müssen innerhalb von 30 Tagen erfüllt werden. Die Frist beginnt für Sie mit der Absendung Ihrer Widerrufserklärung, für uns mit deren Empfang.
Bei einem Vertrag im Zusammenhang mit dem Erwerb des Grow Motion-Anteils besteht kein Recht auf Widerruf.
Das Recht zum Widerruf erlischt, wenn GTS die Dienstleistung erbracht hat und der Vertrag durch Erwerb des Grow Motion-Anteils und dem damit dokumentierten Miteigentumsanteil an einem Pflanzensammelbestand durch den Vertragspartner vollzogen ist oder GTS mit der Ausführung des Vertrages begonnen hat, nachdem der Vertragspartner hierzu seine ausdrückliche Zustimmung gegeben und gleichzeitig seine Kenntnis davon bestätigt hat, dass er sein Widerrufsrecht bei vollständiger Vertragserfüllung durch GTS verliert.
Ende der Widerrufsbelehrung
Ansprüche des Vertragspartners auf Schadensersatz sind ausgeschlossen. Hiervon ausgenommen sind Schadensersatzansprüche des Vertragspartners aus der Verletzung des Lebens, des Körpers, der Gesundheit oder aus der Verletzung wesentlicher Vertragspflichten (Kardinalpflichten) sowie die Haftung für sonstige Schäden, die auf einer vorsätzlichen oder grob fahrlässigen Pflichtverletzung von GTS, seiner gesetzlichen Vertreter oder Erfüllungsgehilfen beruhen. Wesentliche Vertragspflichten sind solche, deren Erfüllung zur Erreichung des Ziels des Vertrags notwendig ist.
Bei der Verletzung wesentlicher Vertragspflichten haftet GTS nur auf den vertragstypischen, vorhersehbaren Schaden, wenn dieser einfach fahrlässig verursacht wurde, es sei denn, es handelt sich um Schadensersatzansprüche des Vertragspartnern aus einer Verletzung des Lebens, des Körpers oder der Gesundheit.
Im Übrigen verjähren Ansprüche wegen Mängel in der gesetzlichen Verjährungsfrist von zwei Jahren, es sei denn der Vertragspartner ist kein Verbraucher. In diesem Fall beträgt die allgemeine Verjährungsfrist für Mängelansprüche ein Jahr, es sei denn GTS haftet gemäß den Regelung dieser Ziffer 9 auf Schadensersatz.
Die Vertragsparteien verpflichten sich, einander zeitlich unbeschränkt, über Geschäfts- und Betriebsgeheimnisse sowie als vertraulich bezeichneten Informationen, die ihnen im Zusammenhang mit der Vertragsdurchführung zugängig gemacht werden, Stillschweigen zu bewahren. Die Weitergabe an nicht mit der Durchführung des Auftrages beschäftigte Dritte erfolgt nur mit vorheriger schriftlichen Zustimmung des jeweils anderen Vertragspartners.
GTS erhebt und verarbeitet die für die Geschäftsabwicklung notwendigen Daten des Vertragspartners. Bei der Verarbeitung von personenbezogenen Daten des Vertragspartners beachtet GTS die gesetzlichen Bestimmungen. Ohne Einwilligung des Vertragspartners wird GTS personenbezogene Daten des Vertragspartners nur erheben, verarbeiten oder nutzen, soweit dies für die Abwicklung des Vertragsverhältnisses erforderlich ist oder ein berechtigtes Interesse von GTS besteht.
Der Vertragspartner kann heygold-Token zusammen mit dem Miteigentumsanteil nur als angemeldeter Benutzer bestellen. Als angemeldeter Benutzer muss er nicht jedes Mal seine persönlichen Daten angeben, sondern der Vertragspartner kann sich vor oder im Rahmen einer Bestellung einfach mit seiner E-Mail-Adresse und dem von ihm bei Registrierung frei gewählten Passwort in seinem Vertragspartnerkonto anmelden.
Zur Durchführung und Abwicklung einer Bestellung benötigt GTS vom Vertragspartnern mindestens die folgenden Daten:
– Vor- und Nachname
– E-Mail-Adresse
– Postanschrift

Bei der Bezahlung per Überweisung verwendet GTS zudem auch die Bankverbindungsdaten zur Zahlungsabwicklung.
Eine darüber hinausgehende Nutzung der personenbezogenen Daten des Vertragspartnern insbesondere für Zwecke der Werbung, der Marktforschung oder zur bedarfsgerechten Gestaltung unserer Angebote bedarf einer ausdrücklichen Einwilligung. Diese Einwilligungserklärung erfolgt völlig freiwillig und kann mit einer E-Mail an den Kundensupport „support@heygold.com“ jederzeit widerrufen werden.
Die von GTS mitgeteilten Daten bleiben in dem jeweiligen Vertragspartnerkonto so lange gespeichert, bis der Vertragspartner diese selbst löscht. Darüber hinaus speichert GTS die Vertragspartnerdaten nur im Rahmen ihrer steuer- und handelsrechtlichen Pflichten.
Soweit sich die persönlichen Angaben des Vertragspartnern ändern, ist er selbst für deren Aktualisierung verantwortlich. Alle Änderungen können online nach Anmeldung unter „Mein Profil“ vorgenommen werden.
Im Rahmen der Anfrage durch Ermittlungsbehörden, kann GTS bei Nachweis der Einleitung eines Ordnungswidrigkeits- oder Strafverfahrens verpflichtet sein, in erforderlichem Umfang, personenbezogene Daten des Vertragspartners, insbesondere die Anschrift, an die ermittelnden Behörden weiterzuleiten.
Hinsichtlich der Einzelheiten und des Umfangs der Erhebung, Speicherung und Verarbeitung der personenbezogenen Daten des Vertragspartnern wird auf die unter https://www.heygold.com/terms vorgehaltene Datenschutzerklärung verwiesen.
Soweit GTS nach dem Geldwäschegesetz (GwG) zur Identifizierung des Vertragspartnern und eines etwaig wirtschaftlich Berechtigten verpflichtet ist, ist der Vertragspartner gesetzlich zur Mitwirkung verpflichtet, insbesondere muss der Vertragspartner GTS die zur Identifizierung notwendigen Informationen und Unterlagen zur Verfügung stellen und sich im Laufe der Geschäftsbeziehung ergebende Änderungen unverzüglich anzeigen.
GTS speichert den Vertragstext nicht, sendet aber dem Vertragspartner die Bestelldaten und die AGB per E-Mail zu. Die AGB kann der Vertragspartner jederzeit auch hier auf der Plattform unter https://www.heygold.com/terms einsehen und herunterladen. Etwaige vergangene Bestellungen kann der Vertragspartner auf der Plattform nach seinem Kunden-Login einsehen.
Dieser Vertrag enthält alle zwischen den Parteien über den Vertragsgegenstand getroffenen Vereinbarungen. Mündliche Nebenabreden existieren nicht.
Änderungen dieser AGB bedürfen zumindest der Textform.
Die für den Vertragsschluss zur Verfügung stehende Sprache ist Deutsch.
Auf Verträge zwischen dem Vertragspartner und GTS findet das Recht der Bundesrepublik Deutschland unter Ausschluss des UN-Kaufrechts Anwendung. Die gesetzlichen Vorschriften zur Beschränkung der Rechtswahl und zur Anwendbarkeit zwingender Vorschriften insbesondere des Staates, in dem der Vertragspartner als Verbraucher seinen gewöhnlichen Aufenthalt hat, bleiben unberührt.
Sollten einzelne Bestimmungen dieser AGB unwirksam sein, so wird dadurch die Wirksamkeit der übrigen Regelungen sowie des Vertrages als solches selbst nicht berührt.
Im Falle von Streitfragen bietet die EU-Kommission eine Online-Plattform zur Online-Streitbeilegung (OS-Plattform). Die OS-Plattform dient als Anlaufstelle zur außergerichtlichen Beilegung von Streitigkeiten betreffend vertraglicher Verpflichtungen, die aus Online-Kaufverträgen erwachsen. GTS ist nicht bereit und nicht verpflichtet, an einem Streitbeilegungsverfahren vor einer Verbraucherschlichtungsstelle teilzunehmen.
